Representative matters
Sole author of the carrier’s approved initial local exchange tariff for a facilities-based fiber subsidiary, and of its CLEC tariff revision procedures.
Negotiated the power purchase and facilities integration agreements integrating a cooperative’s transmission and delivery-point assets with KAMO Power, and drafted the instruments that closed it: a bill of sale scheduling some 590 items of equipment, nineteen substation deeds with reserved perpetual easements, twenty right-of-way and easement assignments, and a ninety-nine-year ground lease.
Drafted the sixty-two-page federal complaint in a post-closing dispute arising from the $15 million acquisition of three rural telephone companies, pleading fraud, breach of representations and warranties, conversion, and tortious interference. Resolved in the client’s favor.
Prosecuted a multi-defendant federal adversary proceeding under 11 U.S.C. § 523(a)(8) from complaint through trial, including summary judgment briefing, a granted motion in limine, and depositions.
Attorney of record in the GLP-1 receptor agonists products liability multidistrict litigation.
Structured commercial agreements with tribal sovereign and public trust counterparties, drafting limited waivers of sovereign immunity scoped by entity, claimant, and contract.
Two published Opinions and Orders drafted as judicial law clerk and adopted by the Court.
